What the law says

Many states treat a joint venture as a partnership for one project. That means partnership rules can apply when the agreement is silent.

Partners in a partnership can be personally liable for debts of the business. Many venturers form an LLC for the project to limit that risk. In that case this agreement works as a term sheet for the LLC operating agreement.

Taxes follow the structure. An unincorporated joint venture usually files as a partnership. Ask an accountant before money starts moving.

The ESIGN Act, 15 U.S.C. 7001 gives an electronic signature the same legal effect as one on paper. A contract cannot be denied effect only because it was signed electronically.

When to use a joint venture agreement

Use it when two businesses need each other for one project but do not want to merge.

  • Real estate development. A landowner and a builder split the profit on a project.
  • Product launches. A brand and a manufacturer launch a co-branded line.
  • Bids and tenders. Two contractors bid together on a public contract.
  • Market entry. A foreign company partners with a local distributor.

Joint venture or partnership

A partnership is an ongoing business. A joint venture is limited to one project or a set period.

Both share profits, losses and control. The limited purpose is what keeps the venturers free to run their own businesses.

Clause 10 keeps each party from binding the other outside the project. It reduces the risk of surprise debts.

How to value contributions

Cash is easy to value. Land, equipment, labor and know-how need an agreed number.

Write the value of each contribution in clause 2. That number often decides how assets are split if the venture ends early.

Use an appraisal for land and equipment. For services, agree on an hourly rate or a fixed amount.

Common mistakes

No exit plan. Ventures end, and fights happen at the end. Clause 9 sets how assets are divided.

Mixing money. Pay venture costs only from the venture account. Mixed accounts make the final split hard to prove.

Unclear IP. Decide who owns new designs, software or brands before the work starts.

Deadlock. A 50/50 committee can freeze. Add a tie-breaker, such as an outside mediator, in clause 11.

Signing with partners in different cities

Joint ventures often join companies that rarely sit in the same room. Each officer signs from a phone through their own link.

The certificate shows who signed for each company and when. Attach it to the venture records and to any bank account application.
