What the law says

A song carries two copyrights. One covers the composition, the other covers the sound recording, also called the master.

Under 17 U.S.C. 101, work by an independent contractor is a "work made for hire" only in nine listed categories, and only if both parties agree in a written instrument signed by them. Outside those cases, the client owns the work only through a written assignment.

A producer is usually an independent contractor, so clause 5 transfers the masters by written assignment instead of relying on work-for-hire.

The ESIGN Act, 15 U.S.C. 7001 gives an electronic signature the same legal effect as one on paper. A contract cannot be denied effect only because it was signed electronically.

Fee, points and splits

The fee pays for the work now. Points pay the producer later, from the money the recording earns.

The composition split is separate. If the producer wrote the beat, they usually own part of the music as a songwriter.

Write all three in the contract. Most producer disputes come from a handshake that covered only one of them.

Beat lease or exclusive production

A beat lease lets the artist use a beat with limits, such as a cap on streams, while the producer keeps selling it to others.

An exclusive production, like this template, gives the artist the master after payment. The producer cannot sell the same beat again.

If you sell leases, write the stream cap, the term and the non-exclusive nature in clause 5.

Before the release

Register the song with your performing rights organization and your distributor. Use the splits and credits from the signed agreement.

Clear every sample before release. An uncleared sample can take a song off streaming platforms.

Common mistakes

No split sheet. Write the composition shares in clause 6 the day the song is finished.

Unclear recoupment. Say if the fee comes back out of the producer's points.

Missing credit wording. Write the exact credit so it appears in streaming metadata.

Example of a two-song deal

A producer makes two songs for an independent artist at USD 1,500 each. Half is paid at signing and half when the final mixes arrive.

The producer gets three points on the artist's royalties and half of the music in the composition. The credit reads "Produced by Dre Northside" on every platform.

Both sign the agreement from their phones before the first session. The split sheet is settled before anyone hears the song.

Signing remote sessions

Many producers never meet the artist in person. Files move by link and sessions happen over video calls.

Send the agreement before the first file transfer. Both sides sign from their phones, wherever they are.

The signed PDF goes to the distributor with the split sheet when the song is released.

Keep the agreement with the session files. When a sync license or a label deal comes later, buyers ask for it first.
