A service agreement is a contract between a provider and a client for work done over time. It sets the scope, the fees, the term and how either side can end it. Cleaners, agencies, IT providers and contractors use one for every recurring client.

SERVICE AGREEMENT

This Service Agreement (the "Agreement") is made on [date] between [Provider name], with address at [address] (the "Provider"), and [Client name], with address at [address] (the "Client").

1. Services

The Provider will perform the following services: [description, frequency and place] (the "Services"). Any work outside this description is extra and will be quoted separately.

2. Term

This Agreement starts on [start date] and continues for [12] months. It renews for equal periods unless either party gives written notice of non-renewal at least [30] days before the end of the current term.

3. Fees and invoices

The Client will pay [amount] [currency] per [month / visit / hour]. The Provider will invoice [monthly], and invoices are due within [15] days. Late amounts accrue interest of [1]% per month or the maximum allowed by law if lower. The Provider may suspend the Services if an invoice is more than [30] days late.

4. Expenses

The Client will reimburse reasonable expenses approved in writing in advance, against receipts.

5. Client responsibilities

The Client will give the Provider timely access, information and approvals. Delays caused by the Client extend the Provider’s deadlines by the same time.

6. Standard of work

The Provider will perform the Services with reasonable skill and care, using qualified personnel, and in line with applicable law. The Client will report any defect within [10] days, and the Provider will correct it at no extra cost.

7. Independent contractor

The Provider is an independent contractor. It controls how the Services are performed and is responsible for its own staff, taxes, insurance and equipment.

8. Confidentiality and data

Each party will keep the other’s non-public information private and use it only for this Agreement. The Provider will protect any personal data of the Client with reasonable security measures.

9. Insurance and liability

The Provider will keep general liability insurance of at least [amount]. Neither party is liable for indirect damages, and each party’s total liability is limited to the fees paid in the [12] months before the claim, except for fraud, willful misconduct or bodily injury.

10. Termination

Either party may end this Agreement with [30] days’ written notice. Either party may end it at once if the other materially breaches it and does not cure the breach within [10] days after notice. The Client will pay for Services performed up to the end date.

11. General terms

This Agreement is governed by the laws of [state]. Changes must be in writing. Notices may be sent by email to the addresses above. The parties agree to sign electronically, with the same effect as a handwritten signature.

What the law says

A service agreement is a private contract. State contract law decides whether it holds. Courts look for an offer, an acceptance, something of value on each side and terms clear enough to enforce.

The ESIGN Act says a contract cannot be denied legal effect only because it was signed electronically. Most states also follow the Uniform Electronic Transactions Act. Both parties can sign from their phones and keep the signed PDF as the original.

Clause 7 matters for taxes. The IRS looks at control over the work, not at the label in the contract, to decide if a worker is a contractor or an employee.

Service agreement or contract for one job

A service agreement covers repeated work over months. A cleaning company, a bookkeeper or a managed IT provider signs one per client. For a single job, a general contract is shorter.

If you also promise response times and uptime, add a service level agreement as an annex.

Write the scope so nobody argues later

Most service disputes start with scope. The client expected windows cleaned and the provider never quoted them. Write tasks, frequency and place in clause 1.

Good: “Vacuum and mop all floors, empty trash, clean two restrooms, Monday, Wednesday and Friday after 6 p.m.”
Weak: “General office cleaning as needed.”

Getting paid on time

Clause 3 sets a due date, late interest and the right to pause work. Those three lines change how fast clients pay. Send the invoice on the same day each month.

Keep the signed agreement next to your invoices. If a client disputes a charge, the signed scope and fee settle it fast.

Renewal and price changes

The term renews on its own unless someone gives notice. To raise the price at renewal, send the new fee in writing before the notice window opens. The client can then accept it or end the agreement.

Insurance and liability in plain words

Clients in offices and clinics often ask for proof of insurance. Clause 9 sets the minimum. Send the certificate with the signed agreement.

The liability cap protects both sides. A small monthly contract should not carry unlimited risk. Bodily injury and fraud stay outside the cap, as courts expect.

A worked example

Brightway Cleaning signs with Oak Street Dental for three evenings a week at 1,250 USD a month. The scope lists floors, trash and two restrooms.

In month four the clinic asks for window cleaning too. Brightway quotes it as extra under clause 1 and both sign a one-page amendment.

In month eleven Brightway sends a new fee for the next year. The clinic accepts it before the thirty-day notice window, and the agreement renews.

Frequently asked questions

Is a service agreement signed online legally binding?
