Reviewed in October 2026

A commercial lease agreement is a contract to rent space for a business, such as an office, a store or a warehouse. It sets the base rent, who pays taxes and maintenance, the permitted use and the term. Commercial leases give the parties more freedom than home leases.

What the law says

Commercial leases follow general contract law and state real property law. Most consumer protections for home tenants do not apply, so the written terms carry more weight. Read each clause on expenses and repairs closely.

Some states ask for a long lease to be recorded or signed with special formalities to bind future buyers of the building. Ask a local attorney if your term is long or the rent is large.

The ESIGN Act gives electronic signatures on the lease the same effect as ink.

Gross, modified gross or triple net

Lease typeTenant paysCommon for
GrossRent only, landlord covers expensesSmall offices and coworking
Modified grossRent plus some expenses, such as utilitiesMulti-tenant offices
Triple net (NNN)Rent plus taxes, insurance and maintenance shareRetail and standalone buildings

Compare offers by total cost per year, not by base rent alone. A low base rent on a triple net lease can cost more than a higher gross rent.

Points to negotiate

  • Free rent during build-out, often one to three months.
  • Improvement allowance to adapt the space.
  • Renewal option at a set or market rent.
  • Cap on expense increases in a net lease.
  • Personal guarantee limited in amount or time.

A worked example

Bright Smile Dental leases a 1,800 square foot suite for five years at 4,500 USD a month, rising 3% a year. It pays 12% of taxes, insurance and maintenance.

The landlord grants two free months for the build-out and approves the plans under clause 7. Both sign from their phones, and the owner signs the guarantee capped at one year of rent.

Before you sign a commercial lease

  1. 1Confirm zoning allows your use.
  2. 2Ask for two years of expense history in net leases.
  3. 3Measure the space or ask how square feet were calculated.
  4. 4Get insurance quotes that meet clause 9.
  5. 5Read the default and guarantee clauses twice.

Signing with an entity

The tenant signs through an officer or member who can bind the business. Write their title under the signature. If there is a guarantor, they sign in their own name.

Add each signer to the document. They sign from a phone, and everyone keeps the same signed PDF with its certificate.

Expenses in a net lease: what to ask

  • What the building paid in taxes, insurance and maintenance in the last two years.
  • How your share is calculated, by square feet or another method.
  • Which costs are excluded, such as major roof replacement.
  • When the yearly reconciliation arrives and how disputes are handled.

Write the answers into clause 4 or a schedule. Surprises in expenses are the most common complaint in net leases.

When the business grows or shrinks

A five-year lease can outlast your space needs. Ask for a right to expand into a neighboring suite, or a right to sublet with reasonable consent, as clause 10 allows.

If you may need to leave early, negotiate an early termination right with a fee. It costs less than paying rent on empty space.

Frequently asked questions

Is a commercial lease signed online legally binding?

Yes. The ESIGN Act gives an electronic signature the same legal effect as a handwritten one. The signed PDF and its certificate show who signed the commercial lease, when and from which device.

Does the business tenant need a SignSolú account to sign?

No. They open the link on their phone and sign with the brown bar at the bottom of the screen.

Can I download the commercial lease in Word?

Yes. “Download in Word” gives you the full commercial lease with no email and no account. You can print it or edit it and sign it here later.

Is a commercial lease different from a residential lease?

Yes. Fewer tenant protections apply, and the parties negotiate expenses, repairs and improvements more freely.

What is a personal guarantee?

A promise by an owner to pay if the business does not. Landlords often ask for one from new businesses.

Can I use this for an office in a shared building?

Yes. Describe the suite and the common areas in clause 1, and choose gross or modified gross in clause 4.
