What the law says

Sales of goods in the US follow each state’s version of Article 2 of the Uniform Commercial Code. It fills gaps on delivery, risk and warranties when the contract is silent. That is why clauses 5 to 7 say it in writing.

Under Article 2, a sale of goods for 500 USD or more generally needs a writing signed by the party against whom it is enforced. A signed sales contract covers that.

The ESIGN Act treats an electronic signature as a valid signature for that writing. Its exceptions leave out most of the Uniform Commercial Code but keep Article 2 inside ESIGN, so a sales contract can be signed electronically.

When to use a sales contract

Use it for any sale of goods where delivery, payment or quality could be questioned. Equipment, bulk inventory, furniture orders and machinery are common cases.

For vehicles and boats, use a bill of sale. Motor vehicle titles have their own transfer rules. For a car sold on payments, the auto sale contract fits better.

Title and risk are not the same

Title is who owns the goods. Risk is who bears the loss if they break or vanish. Clause 5 sets both. A common choice is title on full payment and risk on delivery.

As-is sale or warranty

Used goods are often sold as is. New goods usually carry a warranty. Clause 7 lets you choose. Keep only one option in the final version.

Consumer sales can carry warranties that state law does not let a seller remove. This template is written for sales between businesses.

Mistakes that cost money

  • No inspection deadline. The buyer can complain months later.
  • Price without tax or shipping. Both sides then read the total differently.
  • Delivery “as soon as possible”. Write a date.
  • No deposit rule on cancellation. Clause 9 says what the seller keeps.

Deposits and payment on delivery

A deposit shows the buyer is serious and covers the seller’s first costs. Twenty to fifty percent is common for custom or ordered goods.

Clause 3 lets the seller hold delivery until payment arrives. For large orders, agree a payment on each partial delivery instead of one big balance at the end.

Signing with a buyer in another state

Choose one state for the governing law. The seller’s state is common. The buyer signs from a phone, and both keep the same signed PDF with its certificate.

If sales tax applies, write who collects it and at what rate. Out-of-state sales can follow different tax rules, so check before you quote.

Long lists of goods can go in clause 1 as a table, or in an attached list that both sides sign with the contract.

A worked example

Delta Restaurant Supply sells two griddles to Casa Bonita for 6,400 USD plus tax. The buyer pays a 1,600 USD deposit on signing.

The griddles arrive on November 12. The buyer inspects them within five business days and finds no defect, so the goods are accepted. The balance is paid and title passes under clause 5.

Frequently asked questions

Is a sales contract signed online legally binding?

Yes. The ESIGN Act gives an electronic signature the same legal effect as a handwritten one. The signed PDF and its certificate show who signed the sales contract, when and from which device.

Does the buyer need a SignSolú account to sign?

No. They open the link on their phone and sign with the brown bar at the bottom of the screen.

Can I download the sales agreement in Word?

Yes. “Download in Word” gives you the full sales agreement with no email and no account. You can print it or edit it and sign it here later.

Is a sales contract the same as a bill of sale?

No. The sales contract sets the terms before delivery. A bill of sale proves the transfer once it happens. Large deals often use both.

Can I sell services with this template?

No. Services follow other rules. Use the service agreement or the consulting contract.

Who pays sales tax?

The buyer usually pays it and the seller collects it. Clause 2 says whether the price includes tax.

What happens if the goods arrive damaged?

The buyer reports it in writing within the inspection period. Under clause 6 the seller repairs, replaces or refunds.

Can the buyer cancel after signing?

Yes, before shipment, under clause 9. The seller may keep the part of the deposit set in that clause.
