Sublease agreement in New York City: the letter that has to come before the template
Section 226-b of New York’s Real Property Law gives a tenant renting a residence in a dwelling with four or more residential units the right to sublease, subject to the landlord’s written consent in advance, which cannot be unreasonably withheld. The right only works through a procedure: the tenant mails a notice of intent by certified mail, return receipt requested, with seven specific items attached, including a copy of the proposed sublease. The landlord has ten days to ask for additional information and thirty days from the mailing, or from that additional information if later, to consent or give reasons. Failure to send that notice is deemed a consent.
Why the template is the second step, not the first
Someone leaving New York for six months downloads a sublease agreement, fills it in, has the subtenant sign it and tells the landlord afterwards. In a building with four or more residential units that order is backwards, and the consequence is written into the statute: a sublet that does not comply is a substantial breach of the lease.
The rule is section 226-b of the Real Property Law. It gives a real right, and it attaches a procedure to it that the templates do not carry.
Subletting and assigning are not the same right
Subdivision 1 is about assignment: unless the lease confers a greater right, a tenant renting a residence may not assign the lease without the written consent of the owner, and that consent may be unconditionally withheld without cause. The only thing the tenant gets in exchange is a release: if the owner unreasonably withholds consent, the owner must release the tenant from the lease on thirty days’ notice, and that release is the tenant’s sole remedy.
Subdivision 2(a) is about subletting, and it reads the other way: a tenant renting a residence pursuant to an existing lease in a dwelling having four or more residential units has the right to sublease, subject to the written consent of the landlord in advance, and such consent shall not be unreasonably withheld.
The seven items the request has to carry
Subdivision 2(b) says the tenant informs the landlord of the intent to sublease by mailing a notice of that intent by certified mail, return receipt requested, and that the request shall be accompanied by this information:
- 1the term of the sublease;
- 2the name of the proposed sublessee;
- 3the business and permanent home address of the proposed sublessee;
- 4the tenant’s reason for subletting;
- 5the tenant’s address for the term of the sublease;
- 6the written consent of any cotenant or guarantor of the lease;
- 7a copy of the proposed sublease, with a copy of the tenant’s lease attached if available, acknowledged by the tenant and the proposed subtenant as being a true copy of that sublease.
Item seven is why the sublease document is drafted before the letter is sent, not after: the statute asks for a copy of it, acknowledged by both. That is the single most useful thing to know about this process, and it is the step people skip.
The document itself is the sublease agreement template. If what is being added is a person to the existing lease rather than a sublet, that is a lease addendum; if the plan is to leave and have someone take over, read subdivision 1 again, because that is an assignment. And if the landlord lives in the building and the arrangement is a lodging rather than a sublet, the regime is different again: in Scotland that is the two exclusions of Schedule 1, and in England what a free lodger template gets wrong.
The clock, and the silence that counts as yes
Subdivision 2(c) sets the timetable. Within ten days after the mailing of the request, the landlord may ask the tenant for additional information that will enable the landlord to decide whether rejecting the request would be unreasonable, and such a request for additional information shall not be unduly burdensome.
Then: within thirty days after the mailing of the request for consent, or of the additional information reasonably asked for by the landlord, whichever is later, the landlord shall send a notice to the tenant of consent or, if not consenting, the reasons. And the sentence that decides most disputes: the landlord’s failure to send such a notice shall be deemed to be a consent to the proposed subletting.
| Step | Who | Deadline | What happens if missed |
|---|---|---|---|
| Mail the request by certified mail, return receipt requested | Tenant | Before the sublet starts | A sublet that does not comply is a substantial breach of lease (subdivision 5) |
| Ask for additional information | Landlord | Within 10 days of the mailing | The 30 days run from the original mailing |
| Send consent, or the reasons for refusing | Landlord | 30 days from the mailing, or from the additional information, whichever is later | Failure to send the notice is deemed a consent (subdivision 2(c)) |
| Sublet as requested if consent is unreasonably withheld | Tenant | After the 30 days | Costs and attorneys fees are recoverable if the owner acted in bad faith |
Two things follow from the clock. For the tenant, the date of mailing is the date that matters, which is exactly why the statute asks for certified mail with return receipt: it fixes it. For the landlord, silence is not a strategy — it is a yes. A dated receipt is the same problem an electronic document solves on its own, which is why the signed copy attached to the letter is worth having with a timestamp: is a Mexican e-signature valid in the US covers how that evidence travels.
What the right does not do
It does not release the tenant. If the landlord consents, the premises may be sublet in accordance with the request, but the tenant remains liable for the performance of the tenant’s obligations under the lease. The sublease is a second contract that sits under the first one, and the original tenant is still the landlord’s counterparty.
It also does not reach everything. Subdivision 3 excludes public housing and other units with constitutional or statutory admission criteria, and a proprietary lease — the lease held by a tenant entitled to it by reason of owning stock in a cooperative corporation. A co-op is governed by its own proprietary lease and board rules, not by this right.
And subdivision 6 closes the obvious escape: any provision of a lease or rental agreement purporting to waive a provision of this section is null and void. A lease clause that says «no subletting under any circumstances» does not remove the right of subdivision 2 in a building with four or more units.
What belongs in the sublease itself
- The exact term, matching the term stated in the request, because the consent is to that request.
- The rent and how it is paid, and who pays it to whom.
- That the subtenant takes the premises subject to the prime lease, with a copy attached.
- The deposit, where it is held and what it covers.
- Furniture and belongings left in the apartment, listed, because that is where the end-of-term argument happens.
- The condition of the apartment at the start, with photographs and a date, the way a lease addendum records a later change.
- What the subtenant may not do: no further sublet, no alterations, no additional occupants.

Signing it when the subtenant is not in the city
The practical obstacle is almost never the law. It is that the tenant is already somewhere else and the subtenant has not arrived, and the statute asks for a sublease acknowledged by both before the letter even goes out.
SignSolú is a Mexican e-signature platform. For a document like this it does the one thing that unblocks the sequence: you send the sublease over WhatsApp or by email, each person signs from a phone without creating an account or paying anything, and the audit receipt records time, IP address, device and the SHA-256 hash of the file, so the copy attached to the certified letter is a file whose integrity anyone can check at the verification page, with no account. The sender picks the language for each signer, so a subtenant who reads English gets the email, the WhatsApp message and the signing page in English. SignSolú is not an accredited provider and does not issue NOM-151 conservation certificates, which are a Mexican requirement.
Where an electronic signature binds, and where it does not, is in is an electronic signature legally binding; how the receipt is built, on the trust page; the position in the United States, on the US validity page; the disclosure that goes with an electronic signature, on the electronic signature disclosure; and the prices, on the pricing page. Frequently asked questions
Do I have a right to sublet my apartment in New York?
Subdivision 2(a) of section 226-b of the Real Property Law gives a tenant renting a residence pursuant to an existing lease in a dwelling having four or more residential units the right to sublease, subject to the landlord’s written consent in advance, which shall not be unreasonably withheld.
How do I ask for consent?
By mailing a notice of intent by certified mail, return receipt requested, accompanied by the seven items listed in subdivision 2(b): term, name and addresses of the proposed sublessee, your reason, your address during the sublease, any cotenant or guarantor consent, and a copy of the proposed sublease acknowledged by both.
How long does the landlord have to answer?
Thirty days after the mailing of the request, or after the additional information reasonably asked for within the first ten days, whichever is later. Failure to send a notice of consent or of the reasons for refusing is deemed to be a consent to the proposed subletting.
Can my lease say that subletting is never allowed?
Subdivision 6 says any provision of a lease or rental agreement purporting to waive a provision of section 226-b is null and void. A blanket ban does not remove the right in a building with four or more residential units.
Am I off the hook once the subtenant moves in?
No. Subdivision 2(c) says that if the landlord consents the premises may be sublet in accordance with the request, but the tenant nevertheless remains liable for the performance of the tenant’s obligations under the lease.
What if I sublet without doing any of this?
Subdivision 5 says any sublet or assignment that does not comply with the provisions of the section constitutes a substantial breach of lease or tenancy.
